Welcome to Pine & Leric. These Terms of Service ("Terms") govern your access to and use of the Pine & Leric website and property management services (collectively, the "Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

1. ACCEPTANCE OF TERMS

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. DESCRIPTION OF SERVICES

Pine & Leric provides property management services for residential properties in North Carolina. Our Services may include, but are not limited to, property marketing, tenant screening, lease administration, rent collection, maintenance coordination, financial reporting, and other related property management activities.

The specific services provided to property owners are outlined in individual property management agreements. For tenants, the terms of tenancy are governed by lease agreements and applicable landlord-tenant laws.

3. ELIGIBILITY

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement and that you have the legal capacity to enter into binding contracts.

4. USER ACCOUNTS

Some of our Services may require you to create an account. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading, or if you fail to comply with these Terms.

5. USER RESPONSIBILITIES

When using our Services, you agree to:

• Comply with all applicable laws, regulations, and these Terms
• Provide accurate and truthful information
• Respect the rights and privacy of others
• Not use our Services for any illegal or unauthorized purpose
• Not attempt to gain unauthorized access to any portion of our Services
• Not interfere with or disrupt the integrity or performance of our Services
• Not transmit any viruses, malware, or other harmful code
• Not engage in any activity that could damage, disable, overburden, or impair our Services

6. PROPERTY MANAGEMENT AGREEMENTS

For property owners, our property management services are provided pursuant to a separate Property Management Agreement. In the event of any conflict between these Terms and the Property Management Agreement, the terms of the Property Management Agreement shall prevail.

7. LEASE AGREEMENTS

For tenants, the terms of tenancy are governed by a separate Lease Agreement. In the event of any conflict between these Terms and the Lease Agreement, the terms of the Lease Agreement shall prevail.

8. FEES AND PAYMENTS

Fees for our property management services are outlined in the Property Management Agreement for property owners. For tenants, rent and other charges are specified in the Lease Agreement.

All payments must be made in accordance with the payment terms specified in the applicable agreement. Late payments may be subject to late fees and other charges as permitted by law and specified in the applicable agreement.

9. INTELLECTUAL PROPERTY

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Pine & Leric, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in or to any intellectual property owned by Pine & Leric or our licensors. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution

10. DISCLAIMER OF WARRANTIES

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PINE & LERIC, ITS SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT WARRANT THAT: (A) OUR SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) OUR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING OUR SERVICES WILL MEET YOUR REQUIREMENTS.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PINE & LERIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, OUR SERVICES.

IN NO EVENT WILL PINE & LERIC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID PINE & LERIC IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

THESE LIMITATIONS OF LIABILITY DO NOT APPLY TO LIABILITY RESULTING FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OR DEATH OR BODILY INJURY CAUSED BY PRODUCTS YOU PURCHASE THROUGH OUR SERVICES.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Pine & Leric, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

13. GOVERNING LAW AND JURISDICTION

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of the State of North Carolina, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or our Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina, in each case located in Wake County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. ARBITRATION

At our sole discretion, we may require you to submit any disputes arising from these Terms or your use of our Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying North Carolina law.

15. WAIVER AND SEVERABILITY

No waiver by Pine & Leric of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Pine & Leric to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. ENTIRE AGREEMENT

These Terms, our Privacy Policy, and any applicable Property Management Agreement or Lease Agreement constitute the sole and entire agreement between you and Pine & Leric regarding our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our Services.

17. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use our Services.
